The life cycle of your company

Each stage of a company's life has its own filings, deadlines and risks. These are the three moments where we usually step in.

  1. Incorporation

    This is where the foundations are laid: the incorporation of the company, whether a limited liability company (SL), a public limited company (SA) or a cooperative, with the company name reservation, the drafting of the articles of association and the deed of incorporation to register it with the Registro Mercantil.

    This is also where you decide something that saves a great deal of conflict later: a shareholders' agreement setting out dividends, transfer of shares and voting rights. And the digital certificate, without which nothing gets filed today.

  2. Running the business

    Once the company is trading the work runs both ways: protecting what comes in and putting order into what goes out. We draft and review the commercial contracts of the day to day, supply, distribution or agency, and we handle data protection compliance (GDPR) so that penalties do not arise.

    If a client stops paying, we handle the recovery of unpaid invoices, out of court or through the courts, depending on what suits your cash position.

  3. Winding up and liquidation

    Closing well matters as much as starting well. We handle the whole process of dissolution and liquidation, with every legal and tax obligation met.

    If the company is insolvent the route is different: our insolvency team takes you through the creditors' arrangement to limit the damage and find the best way out.

Frequently asked questions

What exactly does the corporate retainer include?

The recurring corporate work: minutes and certificates of the general meetings, filing of the annual accounts with the Registro Mercantil, keeping and legalising the minutes book and the register of shareholders, and making sure everything stays current.

One-off operations, such as a capital increase or setting up a subsidiary, are quoted separately and we tell you before we start.

Do you work with companies outside Barcelona?

Yes. Much of a company's corporate work is documentary and is done just as well at a distance. We obtain the digital certificate, legalise books and file accounts for clients across Spain, and hold meetings online, by video call or in virtual rooms.

What languages do you work in for corporate matters?

Spanish, Catalan, English and French. The range differs in other areas of the firm: the tax team also works in Italian and Russian.

Can you handle the tax and employment side as well?

Yes, and that is the usual arrangement. Our tax and employment teams work in the same office, so a corporate transaction is reviewed in all three dimensions at once, without your having to coordinate anyone.
