Buying and selling Law Firms and Consultancy Firms

WHY CHOOSE THIS CONSULTANCY SERVICE FOR THE SALE AND PURCHASE OF FIRMS?

Our experience in the sale and purchase of professional firms began as a result of our own experience. On some occasions we have sought non-organic growth, but our experience also began when a fellow lawyer and consultant asked us to help him sell his professional firm. It was not an easy decision after 20 years of his own seniority and another 40 years with his partner's, who was also a family member (we understand firsthand the unique challenges of family businesses).

We also add to that the experience of our commercial and tax team in the sale and purchase of companies, mergers and acquisitions.

We love our profession and have 50 years' experience: You'll know, of course, how rewarding it is to help a client. But you'll also know, if you are a lawyer or consultant, how hard it can be to support yourself and to make decisions when it comes to buying or selling your own business. You may not yet know how difficult it is to negotiate for yourself.

In us you will find an ally who understands your business and who will give you the objective perspective of an experienced advisor.

How can I sell or buy a law or consulting firm? Advice:

BUYING A LAW FIRM:

Buying a law firm is an investment and it is important to know how long it will take for you to recoup that investment. It is important to know what budget you have available and your needs in order to maintain the existing team in the law firm you intend to buy.

SELLING A LAW FIRM

The sale of a law firm is closely related to the amount of money you end up receiving. The important thing is to know what exit conditions you want to maintain and what you want to happen with your staff. On the one hand, the buyer often conditions the price and the timing of payments on the condition that you keep the management post for one, two or three years. On the other hand, you will want to consider the succession of your current staff and you may or may not stipulate guarantees of your team's permanence with the buyer.

BUY CUSTOMER PORTFOLIO OF LAW FIRMS

Law firms usually bill freely, i.e. they handle non-recurring matters. It is important, therefore, for you to assess the type of sector in which the portfolio operates and whether the client is linked to the professional or to the firm, and also for you to know what type of contract the professional has: Is he/she self-employed? Is there an employment relationship? How long has he/she been with the firm? What fixed and variable fees has he/she agreed? All of this will help you to better evaluate the portfolio.

BUY CUSTOMER PORTFOLIO OF CONSULTANCY FIRMS OR AGENCIES IN BARCELONA OR SPAIN

Consultancy firms do usually have a portfolio of recurring clients that provide a fixed monthly income. In this case, it will be important to assess the weight or profitability of the portfolio in the company's balance sheet; the costs of salaries and management programmes; and the additional business generated by the portfolio.

BUY ACCOUNTING PORTFOLIO BARCELONA

The accounting portfolio is currently unpredictable. Market prices are undervalued unless the portfolio is dedicated to a specific sector. The average salary of professionals is high because they are qualified and from 2025 electronic invoicing will come into play. It is advisable to assess the combined relationship with the tax portfolio, which may have a more important weight when it comes to valuing the firm, as well as the links it has with other departments such as the corporate and payroll departments, in order to make a correct appraisal.

SPECIALIST ADVICE ON LAW FIRM ACQUISITIONS

The specialism is important when evaluating the purchase of law firms. Here, it will be important for you to also master that speciality in order to better oversee the management of the portfolio, from the operational and HR aspects to the possible sale of the service within the current market. You will need to keep these factors in mind when evaluating the portfolio you want to buy or sell.

LOOKING FOR A LAWYER TRANSFERRING HIS FIRM DUE TO RETIREMENT

Retirement is a double-edged sword for the seller. You have all the experience and have probably accumulated the maximum number of clients, but the buyer knows that you want to jump ship. It will be important for you to have your office in good shape so that it looks its best and you can attract potential buyers. This will be the best way to negotiate the valuation of the transfer.

LOOKING FOR A PARTNER/LAWYER

One alternative is to sell part of the business. There are investors who bet on the legal sector and buy percentages of the company or business. The important thing here is to find a good travelling companion. We will need to know what you lack or what you are not good at as this may be the area in which a new travelling companion can best complement you.

PURCHASE AND SALE OF OFFICES WITH OR WITHOUT PORTFOLIO

When you acquire a company you acquire both assets and liabilities. This means that it is necessary to know what is good about it, but also what debts or risks the company has. We understand that each firm faces different circumstances that need to be analysed through due diligence or auditing. Therefore, we adapt to the different types of transactions that may be of interest.

HOW DO I BUY A LAW FIRM?

    • Has a recent financial audit been conducted?

    • Are there any hidden liabilities or legal contingencies?
  6. Intellectual Property and Technology:

    • What software and technology are used?
    • Is there intellectual property, such as patents or trademarks, associated with the firm?
  7. Compliance and Regulation:
