Tax and accounting advice

This consultancy will comprise two sections:

1- TAX CONSULTANCY.

  • Technical/legal/tax advice.
  • Preparation of the liquidations of V.A.T. and I.R.P.F. of rents.
  • Preparation of the 3 models of payment on account of the Corporate Tax.
  • Preparation of the Annual Operations Summary
  • Preparation of the Community Operations model.
  • Reception of informative communications of legal actuality.

2- BOOKKEEPING.

  • Accounting advice, by telephone, fax or in person in this office.
  • Preparation of the accounting.
  • Preparation of the official books
  • Tables of amortization of the fixed assets.
  • Periodic situation reports.
Tax consulting and bookkeeping
Between 150€ and 600€.
Corporate income tax
300 per year
Preparation and processing of annual accounts
300 per year

Payroll and social security management

Such advice shall include:
  • Preparation of the pertinent Salary Sheets (including self-employed):
    • Revision as a consequence of new Collective Bargaining Agreements (salary changes, arrears, etc.).
    • Calculation and preparation of payrolls with Stock-Options.
    • Calculation of salary slips based on the net amount.
    • Payroll printing with the option of including the company logo and signature.
    • Monthly summary lists of payroll costs distributed by sections or work centers, in Word or Excel format.
    • Telematic remittance of payroll with the option of sending it to the company and to each employee with his or her personal e-mail address.
    • Issuance of salary receipts in electronic format for uploading to the employee portal.
    • Monthly lists of the bank transfer of the payroll and telematic remission by means of the transfer file.
    • Monthly review of IRPF percentages.
  • Advice on benefits, Social Security and labor penalties.
  • Face-to-face procedures related to equalization (Social Security, Employment Office, Tax Office).
  • Processing of sick leave and medical discharges to the INSS.
  • Other queries related to Social Security.
  • Preparation and adaptation of Social Security (TC-1 and TC-2).
  • Intervention in the entry and hiring of personnel, with preparation and endorsement of contracts, drafting of those clauses that the company needs, with processing of registrations and cancellations of workers.
  • Calculation of balance and termination.
  • Drafting of agreements for the modification of working conditions and contractual novations, as well as conversions to indefinite contracts.
  • Notifications of end of contract, or preparation and approval of extensions of temporary employment contracts.
  • Quarterly and annual summary of I.R.P.F. of workers.
  • Calculation of salary slips based on the net amount.
  • Preparation of company certificates:
    • Certificate of contribution for unemployment benefits.
    • Certificate for retirements.
    • Certificate of direct payment of the IT benefit.
    • Reports of lack of workers for the IT benefit.
    • Maternity or paternity certificate.
    • Declaration of the worker's family situation.
    • Studies of staff and labor statistics.
    • Report of labor life of the company and of the workers.
    • Certificate of being up to date with Social Security payments.
  • Receipt of informative news from the firm.
Flat rate
40 per month per company + €15 per month per employee

Corporate and commercial advisory services

Commercial management and general corporate-mercantile advice for the company, consisting of:
  • Drafting and preparation of the corresponding Minutes and Certificate of the General Meeting of Shareholders to be held annually for the approval of the Annual Accounts of the previous year.
  • Legalization of signatures, if applicable, of the Certificate of the General Shareholders' Meeting before a Notary Public.
  • Follow-up of the qualification of the deposit of the Annual Accounts before the Mercantile Registry.
  • Keeping of the obligatory corporate books: Minute Book and Partners Registry Book.
  • Fulfillment of the Books, both manually and computerized.
  • Supervision and control of their legality.
  • Annual presentation of the Minutes Book before the Mercantile Registry of Barcelona, for its legalization, and of the Partners Registry Book when necessary.

Excluded from these fees are any other professional actions not contemplated in this offer of services, which would give rise to the pertinent minute of fees. For example:

  • Corporate and commercial advice to the company and its governing and administrative bodies in the adoption of resolutions that are not detailed above.
  • Drafting and preparation of minutes and certifications of the resolutions of the corporate bodies that do not deal with the approval of accounts or the renewal of positions in the company.
  • Transformation, merger, absorption and other operations of special complexity.
  • Modification of by-laws and processing of the same before the pertinent public offices and registries.
  • Keeping of the obligatory accounting books, such as the Daily Book and the Inventory and Annual Accounts Book.

Also excluded are any type of expenses or supplies produced by third parties, such as those produced by the Mercantile Registry of Barcelona, the B.O.R.M.E., cost of the mercantile books, Notary's office or couriers sent at the request of the company.
